No Legal Advice: Outputs are generated by AI. We do not provide legal representation or counsel.
Output Ownership: You retain 100% intellectual property rights to the contracts you generate.
Verification Required: Always review drafts with qualified local counsel before execution.

1. Acceptance of Terms

By signing up for an account, accessing, or using the website, database, templates, reviewer capabilities, and AI tools offered by LegalAI Workspace (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms").

If you are entering into these Terms on behalf of a company, organization, or another legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Services.

LegalAI Workspace provides self-service legal document automation software and AI review capabilities. We do not operate as a law firm, we do not provide legal advice or representation, and your use of the Services does not establish an attorney-client relationship. All drafted agreements, suggestions, and risk evaluations are for informational purposes only. You are solely responsible for reviewing outputs with licensed legal professionals prior to signing or executing any document generated here.

2. Account Registration and Security

To access the full workspace, you must create a secure account. You agree to:

  • Provide accurate, current, and complete details during signup.
  • Maintain the confidentiality of your password and credentials.
  • Promptly notify us at legalai@zyphro.site if you discover any unauthorized breach or access to your workspace.

3. License and Ownership

  • Our Platform: LegalAI Workspace retains all right, title, and interest in and to the platform (including all UI components, database schemas, proprietary templates, icons, code repositories, and structural content).
  • Your Documents: You retain full, exclusive ownership of any documents, input variables, and texts you generate, upload, or process through the platform. We grant you a perpetual, royalty-free, worldwide license to copy, edit, compile, export, and commercially use any document generated using our templates.

4. Subscriptions, Payments & Cancellations

Some of our Services are provided free of charge under daily usage caps, while premium tiers require a paid subscription:

  • Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis, processed securely through Stripe.
  • Automatic Renewal: Your subscription will renew automatically at the end of each period unless cancelled prior to the renewal date.
  • Cancellations: You can cancel your subscription at any time directly through the Billing & Plans dashboard in your account workspace. Upon cancellation, your premium access will continue until the end of the current billing term.
  • Refunds: All subscription purchases are non-refundable. Exception requests are reviewed case-by-case at our discretion.

5. Acceptable Use and Restrictions

You agree not to use the platform to:

  • Upload or process illegal, defamatory, or fraudulent agreements.
  • Bulk scrape templates, structural code, or replicate model prompts for competitive training.
  • Attempt to bypass security features, reverse-engineer compiler scripts, or overload our API endpoints.
  • Introduce malicious files, viruses, or trojans into the reviewer upload bucket.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LEGALAI WORKSPACE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE COMPILED DRAFTS WILL MEET YOUR JURISDICTION'S SPECIFIC LOCAL STATUTES, OR THAT COMPILED CONTRACTS ARE FREE FROM AMBIGUITY. LEGALAI IS NOT RESPONSIBLE FOR THE LOSS OR INACCURACY OF INPUT VARIABLES SAVED IN THE DATABASE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALAI WORKSPACE, ITS DIRECTORS, EMPLOYEES, AND SUBPROCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DRAFTS, OR DATA.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF $100 USD OR THE TOTAL FEES PAID BY YOU TO LEGALAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless LegalAI Workspace and its affiliates from and against any third-party claims, damages, costs, and liabilities arising out of your breach of these Terms, misuse of the generated documents in active disputes, or violation of third-party intellectual property rights.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be settled through binding arbitration in Wilmington, Delaware.
